1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, client portal, and matching and coordination services (collectively, the "Services") provided by California Baby Surrogacy LLC ("California Baby," "we," "us"). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Services.

2. Who May Use the Services

You must be at least eighteen (18) years old and able to form a binding contract under applicable law to use the Services. The Services are operated from California, United States, and are designed primarily for use in connection with surrogacy and assisted reproduction arrangements involving California law. If you access the Services from another jurisdiction, you are responsible for compliance with the laws of that jurisdiction.

3. What California Baby Provides

California Baby is a surrogacy and gamete donation agency. We provide matching of intended parents with surrogate and donor candidates, case coordination, communication facilitation among the parties' independent professionals, and a secure client portal for documents and updates. California Baby is not a medical provider, law firm, escrow company, insurance broker, or psychological counselor. We do not provide medical care, legal representation, financial advice, or licensed mental-health services. Each party engages and is represented by their own independent licensed professionals.

4. Accounts and Account Security

Certain features of the Services require an account, including the client portal. You agree to provide accurate, current information; to change any temporary password we issue to you on first login; to keep your credentials confidential; and to notify us promptly at info@californiababyivf.com of any unauthorized access. You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that we reasonably believe are being misused, including for sharing credentials, submitting false information, or attempting to bypass security.

5. Acceptable Use

When using the Services you agree not to: (a) submit information that is false, misleading, or not your own; (b) impersonate another person or misrepresent your relationship to a party in a case; (c) interfere with or disrupt the Services or attempt to gain unauthorized access; (d) use the Services to harass, threaten, or defraud any person; (e) scrape, copy, or systematically extract content (including candidate profiles or photographs) from the Services; (f) use the Services in violation of any applicable law, including export, sanctions, anti-trafficking, and child-protection laws; or (g) upload material that infringes intellectual property or privacy rights of others.

6. User Submissions and Photographs

When you submit information, documents, or photographs through the Services - for example, an intake form, an application, or a portal upload - you grant California Baby a limited, non-exclusive license to use that content solely to provide the Services to you, to coordinate your case, and to comply with legal obligations. Photographs uploaded as part of a surrogate or donor profile remain subject to the additional protections described in our Privacy Policy: profile photographs are shown only to matched intended parents and only with the candidate's affirmative consent.

7. Intellectual Property

All content on the Services that is not user-submitted - including text, photographs licensed to us, logos, graphics, software, and the overall look and feel - is owned by California Baby or our licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, revocable, non-transferable license to access and use the Services for their intended purpose. You may not reproduce, distribute, modify, create derivative works of, or use any portion of our content for commercial purposes without our prior written consent.

8. Surrogacy-Specific Disclaimers

Surrogacy and gamete donation are complex medical, legal, and emotional processes with outcomes that cannot be guaranteed. Nothing on this website or in any communication from California Baby constitutes medical advice, legal advice, or a guarantee of a particular outcome (including pregnancy success, live birth, or the legal status of any parentage order). Each intended parent must engage an independent reproductive law attorney to draft and review the Gestational Carrier Agreement or Donor Agreement applicable to their case. Each surrogate and each donor must engage independent counsel paid for by the intended parents in accordance with industry standards. California Baby facilitates introductions and coordination; the contractual and medical relationships are between the parties and their professionals.

9. Fees, Payments, and Refunds

Agency, medical, legal, and other fees are detailed in the written Client Services Agreement that each intended parent signs with California Baby before active matching begins; surrogate and donor compensation is detailed in the separate written agreements between those parties and the intended parents. Cost ranges referenced on this public website are estimates only and may change. Payments are typically held and disbursed by a third-party licensed escrow company. Refunds and credits, where available, are governed by the written agreement covering each engagement. Nothing on this website creates a contractual entitlement to any particular fee schedule, refund, or credit; the written agreement controls.

10. Third-Party Services

The Services may interoperate with or reference third-party providers - including fertility clinics, attorneys, escrow companies, insurance brokers, and software vendors. California Baby is not responsible for the acts, omissions, or content of any third party and makes no warranties regarding any third-party service. Your relationship with each third party is governed by your separate agreement with that party.

11. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CALIFORNIA BABY, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY APPLICABLE LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless California Baby and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to any contrary provision in a signed written agreement between you and California Baby, you and California Baby agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will, where required by law, be communicated through additional notice. Your continued use of the Services after the effective date of any change constitutes acceptance of the revised Terms.
